Million Dollar Club Terms & Conditions

Effective Period: August 1, 2026 to July 31, 2027

Program Owner: Madimack Global, including its related bodies corporate and affiliates ("Madimack")

1. Definitions

For the purposes of these Terms & Conditions:

  • "Program" means the Million Dollar Club points-based business incentive program operated by Madimack.
  • "Participant" means a registered trade customer approved by Madimack to participate in the Program. Participants must maintain an active registration and comply with these Terms & Conditions throughout the Program Period.
  • "Trade Account" means an active, approved business account held directly with Madimack and maintained in good standing.
  • "Legal Entity" means a business entity identified by a unique Employer Identification Number (EIN) or equivalent tax identifier.
  • "Eligible Purchase" means qualifying commercial purchases of Madimack-branded primary equipment products made directly from Madimack or its authorized affiliates, excluding taxes, freight, rebates, credits, refunds, cancelled transactions, and Excluded Items.
  • "Excluded Items" means accessories, spare parts, replacement components, consumables, service items, warranty-related items, promotional items, and any other products or SKUs designated by Madimack as excluded from the Program.
  • "Points" means non-cash reward points earned by a Participant in accordance with these Terms & Conditions.
  • "Reward" means a product, service, or benefit offered by Madimack and made available for redemption using Points.
  • "Program Period" means the period commencing Augst 1, 2026 and ending July 31, 2027, unless earlier modified or terminated by Madimack.
  • "Program End Date" means July 31, 2027 at 11:59 PM local time.

2. Program Overview and Legal Character

The Million Dollar Club is a business-to-business loyalty and incentive program designed to reward objective, measurable commercial purchasing activity.

The Program:

  • Is not a lottery, raffle, sweepstakes, or gambling activity
  • Does not involve chance or random selection
  • Does not award prizes by luck or probability
  • Does not require payment for a chance to win

Points and rewards are earned solely through qualifying commercial activity and compliance with these terms & conditions.

3. Eligibility

Participation is strictly limited to registered trade customers purchasing directly from Madimack or its authorized affiliates.

To participate in the Program, partners must be registered and maintain an active Trade Account in good standing throughout the Program Period.

The following are not eligible to participate:

  • Distributors
  • Wholesalers
  • Buying Groups
  • Consortiums
  • Entities purchasing solely via third-party distributors
  • Consumers or residential end users

Eligibility determinations are made solely at Madimack's discretion.

4. One Account per Legal Entity

Participation is limited to one (1) Program account per Legal Entity, as determined by Madimack in its sole discretion.

Madimack reserves the right to:

  • Identify duplicate, related, or affiliated accounts
  • Delete duplicated accounts, rather than merge
  • Suspend or terminate duplicate participation

without notice or compensation.

5. Program Period and End of Life

The Program operates only during the Program Period.

  • No Points may be earned after the Program End Date.
  • Participation does not create any vested, accrued, or continuing rights beyond the Program Period.

Madimack may modify, suspend, extend or terminate the Program at any time, with or without notice, subject to applicable law.

6. Earning Points

Points are earned only on Eligible Purchases made by registered Participants and are calculated based on net spend, excluding taxes, freight, rebates, credits, refunds, and Excluded Items.

Points:

  • Are issued only after invoices are validated by Madimack and paid in full
  • Do not accrue on unpaid, disputed, cancelled, or refunded invoices
  • May vary by product, promotion, territory, or time period
  • Are determined solely by Madimack’s internal systems, which are final and binding

Accessories, spare parts, replacement components, consumables, service items, and warranty-related items do not constitute eligible purchases and do not qualify as sales orders for the purposes of earning points, unless expressly approved in writing by Madimack.

Madimack reserves the right to correct, adjust, or reverse points issued in error or arising from ineligible transactions.

7. Mandatory Monthly Ordering Requirement

Participants must place at least one qualifying eligible purchase order every second calendar month during the Program Period.

Failure to meet this requirement will result in:

  • Forfeiture of all accumulated Points

This requirement is a fundamental condition of participation.

8. Overdue or Delinquent Accounts

If a Participant’s Trade Account becomes overdue, delinquent, or enters arrears:

  • All points are immediately forfeited
  • Forfeited points cannot be reinstated or redeemed

This condition applies to direct accounts with Madimack as well as to third party accounts, such as distributors or affiliates.

9. Points Conditions and Expiry

Points:

  • Have no cash value
  • Are not redeemable for cash, credit, or cash equivalents
  • Are non-transferable and may not be sold, assigned, or exchanged
  • Do not constitute rebates, refunds, or discounts on past purchases

All Points must be redeemed within twelve (12) months from the date they are earned. Points not redeemed within this period automatically expire and are forfeited without compensation.

10. Redemption

Points may be redeemed only for rewards offered by Madimack and subject to availability.

All redemptions:

  • Require the Participant’s account to be active and in good standing
  • Are subject to Madimack approval
  • Are final once approved

Coupons are;

  • Limited to one redemption per entity per year, unless multiple redemptions are explicitly determined by Madimack
  • Subject to availability
  • Provided at the full discretion of Madimack.

Madimack may substitute Rewards of equal or greater value or refuse redemption requests that do not comply with these Terms & Conditions.

11. Fraud, Misuse, and Audit Rights

Madimack reserves the right to:

  • Audit participant accounts and transaction records
  • Reverse points
  • Cancel or recover improperly redeemed Rewards
  • Suspend or terminate participation

Any suspected misuse, fraud, manipulation, or abuse of the program may result in immediate forfeiture of Points and termination.

Madimack's determinations are final.

12. Suspension and Termination

Madimack may suspend or terminate participation immediately if a Participant:

  • Breaches these terms & conditions
  • Fails to maintain an active trade account
  • Engages in fraudulent, misleading, or improper conduct

Upon suspension or termination:

  • All unused points are forfeited
  • Pending redemptions may be cancelled
  • No compensation is payable

13. Taxes

Participants are solely responsible for any federal, state, or local tax obligations arising from participation in the Program.

14. Data and Communications

Participation constitutes consent to the use of Participant data for Program administration, reporting, and communications, subject to Madimack's applicable privacy policy.

15. No Partnership or Agency

Participation does not create any partnership, joint venture, agency, employment, or fiduciary relationship between Madimack and any Participant.

16. Limitation of Liability

To the maximum extent permitted by law, Madimack is not liable for:

  • Lost, expired, or forfeited Points
  • Unavailable Rewards
  • System errors, outages, or delays
  • Program modification or termination

Participation is at the participant's own risk.

17. Amendments

Madimack may amend these Terms & Conditions at any time. Continued participation constitutes acceptance of the amended terms.

18. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the United States of America, without regard to conflict-of-law principles.
